  1. NOVELL NETWARE SUPPLEMENTAL DRIVER KIT SOFTWARE LICENSE AGREEMENT

  4. DO NOT BREAK THE SEAL PREVENTING ACCESS TO THE SOFTWARE UNTIL YOU HAVE
  5. READ THIS LICENSE AGREEMENT.  BY BREAKING THE SEAL OR USING THE SOFTWARE
  6. (OR AUTHORIZING ANY OTHER PERSON TO DO SO) YOU ACCEPT THIS LICENSE
  7. AGREEMENT.  IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE AGREEMENT,
  8. YOU MAY RETURN THE SOFTWARE (IF THE SEAL IS UNBROKEN) WITHIN TEN DAYS
  9. OF PURCHASE FOR A REFUND.

  12. DEFINITIONS.
  13.  
  14.    "Novell" means Novell, Inc., a Delaware corporation, 122 East 1700
  15.    South, Provo, Utah  84606.
  16.    "You and Your" means the person or business entity who purchased this
  17.    License to use this Software or for whom such License was purchased.
  18.    "Software" collectively means all the software You have received from
  19.    Novell with this License.
  20.    "Documentation" means the manual(s) and any other printed material
  21.    provided by Novell with the Software.
  22.    "License" means the license purchased and granted pursuant to this
  23.    Agreement.

  25. LICENSE AND PROTECTION.
  26.  
  27.    License Grant.  Novell grants to You, and You purchase, subject to the
  28.    following terms and conditions, a nonexclusive, nontransferable right
  29.    to use the accompanying copy of the Software (in object code form
  30.    only).  As a means of promoting the NetWareâ–  Supplemental Driver Kit,
  31.    Novell further grants you without charge the right to reproduce,
  32.    distribute and use copies of the Software, provided you (1) include
  33.    a copy of this Software License Agreement on each copy of media to
  34.    which a supplemental driver is copied (this Software License Agreement
  35.    is contained in the "README.TXT" file accompanying the drivers), and
  36.    (2) do not receive any payment, commercial benefit, other
  37.    consideration for such reproduction or distribution, or change this
  38.    license agreement or any copyright notices appearing on or in the
  39.    Software.  All rights not specifically granted to You are retained by
  40.    Novell and/or its Licensors.

  42.    Protection of Software.  You agree to take all reasonable steps to
  43.    protect the Software and Documentation from unauthorized copying or
  44.    use.  The Software source code represents and embodies trade secrets
  45.    of Novell and/or its licensors.  The source code and embodied trade
  46.    secrets are not licensed to You and any modification, addition, or
  47.    deletion is strictly prohibited.  You agree not to disassemble,
  48.    decompile, or otherwise reverse engineer the Software in order to
  49.    discover the source code and/or the trade secrets contained in the
  50.    source code.

  52.    Copies and Adaptations.  Except as otherwise provided in this License,
  53.    You may not make or authorize the making of copies or adaptations of
  54.    the Software except as an essential step in the utilization of the
  55.    Software, or is for archival purposes only to back-up use of the
  56.    Software.  All proprietary rights notices must be faithfully
  57.    reproduced and included on all copies and adaptations.  You may not
  58.    copy the Documentation.
  59.  
  60.    Ownership.  Ownership of, and title to, the Software and Documentation
  61.    (including any adaptations or copies) shall be held by Novell and/or
  62.    its licensors.  Copies are provided to You only to allow You to
  63.    exercise your rights under the License.  Only the License is purchased
  64.    by You.
  65.  
  66.    Restrictions.  Except as expressly authorized in this Agreement, You
  67.    agree not to rent, lease, sublicense, distribute, transfer, copy,
  68.    reproduce, display, modify or time share the Software or
  69.    Documentation.
  70.  
  71.    Transfer of License.  You may transfer this License to another person
  72.    or entity if You obtain the prior written approval of Novell.  Novell
  73.    will not withhold approval if You advise Novell in writing of the name
  74.    and address of the proposed transferee and the transferee agrees to
  75.    be bound by this Agreement.  If Novell approves the transfer of
  76.    License, You agree to transfer all copies of the Software and
  77.    Documentation, including any copies or adaptations you have made.
  78.  
  79.    Term.  This Agreement is effective from the date you break the seal
  80.    preventing access to the Software, and will remain in force until
  81.    terminated.  You may terminate this License at any time by destroying
  82.    the Documentation and the Software together with all copies and
  83.    adaptions.  This Agreement shall also automatically terminate if You
  84.    breach any of the terms or conditions of this Agreement.  You agree
  85.    to destroy the original and all adaptions or copies of the Software
  86.    and Documentation, or to return them to Novell upon termination of
  87.    this License.
  88.  
  89. LIMITED WARRANTY AND LIMITED LIABILITY.
  90.  
  91.    Compatibility.  The Software is only compatible with certain computers
  92.    and operating systems.  THE SOFTWARE IS NOT WARRANTED FOR NON-
  93.    COMPATIBLE SYSTEMS.  Call Novell Customer Support or Your Dealer for
  94.    information about compatibility.
  95.  
  96.    Magnetic Media and Documentation.  Novell warrants that if the
  97.    magnetic media or Documentation are in a damaged or physically
  98.    defective condition at the time that the License is purchased and if
  99.    they are returned to Novell (postage prepaid) within 90 days of
  100.    purchase, Novell will provide You with replacements at no charge.
  101.  
  102.    Software.  Novell warrants that if the Software fails to substantially
  103.    conform to the specifications in the Documentation and if the
  104.    nonconformity is reported in writing by You to Novell within 90 days
  105.    from the date that the License is purchased, then Novell will either
  106.    remedy the nonconformity or offer to refund the License Fee to You
  107.    upon return of all copies of the Software and Documentation to Novell. 
  108.    In the event of a refund the License shall terminate.
  109.  
  110.    DISCLAIMER OF WARRANTIES.  NOVELL MAKES NO WARRANTY, REPRESENTATION
  111.    OR PROMISE NOT EXPRESSLY SET FORTH IN THIS AGREEMENT.  NOVELL
  112.    DISCLAIMS AND EXCLUDES ANY AND ALL IMPLIED WARRANTIES OF
  113.    MERCHANTABILITY, TITLE AND FITNESS FOR A PARTICULAR PURPOSE.  NOVELL
  114.    DOES NOT WARRANT THAT THE SOFTWARE OR DOCUMENTATION WILL SATISFY YOUR
  115.    REQUIREMENTS OR THAT THE SOFTWARE AND DOCUMENTATION ARE WITHOUT DEFECT
  116.    OR ERROR OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED. 
  117.    Some states do not allow limitations on how long an implied warranty
  118.    lasts, so the above limitation may not apply to You.  This warranty
  119.    gives you specific legal rights which vary from state to state.
  120.  
  121.    LIMITATION ON LIABILITY.  NOVELL'S AGGREGATE LIABILITY ARISING FROM
  122.    OR RELATING TO THIS AGREEMENT OR THE SOFTWARE OR DOCUMENTATION IS
  123.    LIMITED TO THE TOTAL OF ALL PAYMENTS MADE BY OR FOR YOU FOR THE
  124.    LICENSE.  NOVELL SHALL NOT IN ANY CASE BE LIABLE FOR ANY SPECIAL,
  125.    INCIDENTAL, CONSEQUENTIAL, INDIRECT OR PUNITIVE DAMAGES EVEN IF NOVELL
  126.    HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  NOVELL IS NOT
  127.    RESPONSIBLE FOR LOST PROFITS OR REVENUE, LOSS OF USE OF THE SOFTWARE,
  128.    LOSS OF DATA, COSTS OF RE-CREATING LOST DATA, THE COST OF ANY
  129.    SUBSTITUTE EQUIPMENT OR PROGRAM, OR CLAIMS BY ANY PARTY OTHER THAN
  130.    YOU.  Some states do not allow the exclusion or limitation of
  131.    incidental or consequential damages, so the above limitation or
  132.    exclusion may not apply to You.
  133.  
  134. GENERAL CONDITIONS.
  135.  
  136.    Governing Law.  This Agreement shall be governed by, and interpreted
  137.    in accordance with, the laws of the State of Utah of the United States
  138.    of America.  
  139.    Entire Agreement.  This Agreement sets forth the entire understanding
  140.    and agreement between You and Novell and may be amended only in a
  141.    writing signed by both parties.  NO VENDOR, DISTRIBUTOR, DEALER,
  142.    RETAILER, SALES PERSON OR OTHER PERSON IS AUTHORIZED TO MODIFY THIS
  143.    AGREEMENT OR TO MAKE ANY WARRANTY, REPRESENTATION OR PROMISE WHICH IS
  144.    DIFFERENT THAN, OR IN ADDITION TO, THE REPRESENTATIONS OR PROMISES OF
  145.    THIS AGREEMENT ABOUT THE SOFTWARE.
  146.  
  147.    Waiver.  No waiver of any right under this Agreement shall be
  148.    effective unless in writing, signed by a duly authorized
  149.    representative of Novell.  No waiver of any past or present right
  150.    arising from any breach or failure to perform shall be deemed to be
  151.    a waiver of any future right arising under this Agreement.
  152.  
  153.    Severability.  If any provision in this Agreement is invalid or
  154.    unenforceable, that provision shall be construed, limited, modified
  155.    or, if necessary, severed, to the extent necessary, to eliminate its
  156.    invalidity or unenforceability, and the other provisions shall be
  157.    interpreted to give effect to severed provisions.
  158.  
  159.    Export.  You agree that You will not knowingly, directly or
  160.    indirectly, without prior written consent, if required, of the Office
  161.    of Export Licensing of the U.S. Department of Commerce, Washington
  162.    D.C. 20230, export or transmit the Software to Afghanistan, the
  163.    Peoples Republic of China, or to any group Q, S, W, Y, or Z country
  164.    specified in the Export Administration Regulations issued by the U.S.
  165.    Department of Commerce or to any country to which such transmission
  166.    is restricted by applicable regulations or statutes.

  168.    U.S. Government Restricted Rights.  Use, duplication, or disclosure
  169.    by the United States Government is subject to restrictions as set
  170.    forth in FAR  52.227-14 (June 1987) Alternate III(g)(3) (June 1987),
  171.    FAR  52.227-19 (June 1987), or DFARS  52.227-7013 (c)(1)(ii) (June
  172.    1988), as applicable.  Contractor/Manufacturer is Novell Inc., 122
